A Contract Extension Agreement is a written record that the parties have agreed to continue an existing contract beyond its current end date. It identifies the original contract, the current and new end dates, and the fees and other terms for the extended period.

People use an extension agreement when a working relationship is going well and both sides want it to continue without negotiating a new contract from scratch. It is commonly used with an independent contractor master services agreement, a consulting agreement, a subcontractor agreement, a software license, a trademark or brand license, or a mutual nondisclosure agreement. It keeps the existing terms in place while recording the new term and any agreed changes.

Use it before the current end date passes, so there is no gap in which it is unclear whether the contract still applies. If the parties want to change many terms at once, a new contract or a contract amendment agreement may be clearer. If the original contract renews automatically, check how that clause works before preparing a separate extension.

Some contracts set out how an extension must be agreed, such as a notice period or a written document signed by all parties. Terms to decide on

Current end date
State the end date as it currently stands under the contract or its latest amendment. Check it against the original document rather than relying on memory.
New end date
State the new date on which the contract will end. Make clear whether the contract can be extended again and how any further renewal would be agreed.
Fees or rates for the extended term
Record the fees, rates, or royalties that apply during the extension and the date they start. If the fees stay the same, say so clearly.
Other changes for the extended term
Describe any other changes, such as reporting, scope, or deliverables, that apply only during the extension. If there are none, state that all other terms remain unchanged.
Continuity of existing terms

  • Signing the extension after the original contract has already ended. Agree on it before the current end date.

  • Not having every original party sign. Include all parties to the original contract.

Is an extension different from an amendment?
